Partially-Executed NDA/CDA Agreement

CU Boulder’s Partially-Executed Nondisclosure Agreement (PE NDA) may be used for unilateral (one-way) disclosure of confidential information by an external entity to CU Boulder personnel. If CU Boulder personnel will disclose confidential information to an external entity, the PE NDA cannot be used. Instead, please fill out the if confidential information needs to be disclosed to an external entity.

An NDA can also be referred to as a Confidential Disclosure Agreement (CDA) or a Proprietary Information Agreement (PIA).

Follow the steps below to use CU Boulder's PE NDA:

  1. Any personnel subject to the PE NDA should read the agreement to understand how to comply with the terms.
  2. The Principal Investigator (PI) must complete ALLÌýhighlighted sections on both pages and sign in theÌý"Institution's Principal Investigator" signature block on the last page. Please work with the external party to obtain the full legal address needed for the agreement. For any questions, reach out toÌýyour department's Contract Officer at the Office of Contracts and Grants (OCG).ÌýÌý

  3. Send the completed agreement to the external party for signature.Ìý
  4. The PE NDA must be accepted as written. It cannot be edited by the external party.ÌýIt has been designed to allow for immediate acceptance.Ìý
    • If the external party requires use of their own NDA, please fill out OCG's and attach the external party's NDA at the bottom. It is likely to take a minimum of four to eight weeks to execute.Ìý
  5. Do not route the executed PE NDA to OCG for signature as the document is already executed by CU Boulder.Ìý
  6. Once the external party signs the agreement, it is fully executed. The external party can share information.Ìý
  7. Email a copy of the fully-executed PE NDA to ocgcontracts@colorado.edu. If using DocuSign, a copy of the fully-executed PE NDA can be routed through DocuSign to ocgcontracts@colorado.edu. It is the responsibility of the PI to maintain a copy of the executed agreement and provide it to OCG upon request unless a copy is sent to OCG.Ìý
